Max has spent over a decade practicing corporate law at top law firms, within a startup company and on his own, helping high growth companies, their founders, and stakeholders navigate every important stage of growth from inception to exit. Max focuses on venture capital and private financing, startup and high growth company representation, investor counsel, mergers and acquisitions, and day to day general corporate and contract work. With experience serving as COO in a startup company, he has a key business perspective that helps him "quarterback" client teams making important legal decisions.
Max was a member of the executive team at Windpact, Inc., and previously practiced law at Cooley LLP and Holland & Knight LLP. Max earned his JD from Vanderbilt University Law School as well as a Law and Business certificate from the Owen School of Management. Max is a member of the Virginia State Bar.
Adrienne has spent years negotiating, counseling, structuring and drafting technology transactions from within AmLaw 100 law firms, Fortune 500 companies and in high growth companies. Her expertise has established her as an invaluable strategic and business-minded legal advisor driven by results. She began her career in private practice at Pillsbury Winthrop Shaw Pittman, before joining the technology transactions group at Cooley, LLP. Pursuing her interest in leadership and management, Adrienne joined Hewlett Packard Enterprise where, as Vice President & Associate General counsel, she led a team of thirty-five attorneys across North and South America and gained perspective of a business executive.
Adrienne’s practice focuses on (i) structuring and negotiating technology-related commercial transactions, (ii) strategic counseling to maximize clients’ ability to acquire, use, protect and commercially exploit their intellectual property assets, and (iii) advising clients regarding data and privacy compliance, including GDPR compliance, drafting privacy policies, data transfer agreements and user interface requirements. In her free time, she practices yoga, devours podcasts and runs MotherNation, a wellness community for women in the beginning stages of motherhood. Adrienne earned her undergraduate degree from Cornell University and JD from American University and she is a member of the bar in Maryland, DC and Virginia.
Barine has years of experience negotiating and drafting contracts for technology transactions, as well as advising clients regarding business risk, deal structures and intellectual property. Her legal career began at Cooley LLP, where she initially represented corporate clients in technology industries, including public companies and start-ups with venture capital financing, and later moved to the technology transactions group. She also worked in-house at MicroStrategy, a leading company in business intelligence, negotiating complex software licensing, subscription, services, and vendor contracts. Barine earned her undergraduate degree in Physics from Johns Hopkins University, and her JD from the University of Virginia in 2007. She is a member of the bar in Colorado and Virginia.
